The terms and conditions for the sale of goods online offered by Pro System Services applies to all orders placed by the customer in person, over the telephone, fax, online or email.
The terms and conditions of business shall apply to all transactions for the supply of equipment, materials and services (including the services of technicians and other staff.)
The terms and conditions can be revised at any point of time, the customer is advised to review the current terms and condition before placing the order with us time to time.
All equipment on hire remains the property of Pro System Services. Pro System Services reserves the right to substitute equipment with a like for like alternative in unforseen circumstances.
The terms and conditions do not affect your statutory rights.
2. Definitions and Interpretation
In this Agreement the following terms shall have the following meanings:
“Account” reads as User collective information like personal information, Payment Information and credentials used by Users in Payment process;
“The Customer” reads as the individual, firm or company availing the services and sales offered by Pro System Services.
“Carrier” reads as the courier/carrier company for transporting purchased goods or hired goods from Pro System Services to an address given by the customer.
“Content” reads as the data presented in the form of text, graphics, images, audio, video and/or software over the website.
“Company” reads as Pro Systems Services with the registered office located at 546 Stonefield Way, Ruislip, Middlesex, HA4 0BH6
“Equipment” reads as all lighting, sound A/V, Staging, Rigging, Pyrotechnics and Video Relay gear owned by Pro Systems Services.
“Goods” reads as any products that Pro Systems Services displayed over the website for sale and hire.
“Pro Systems Services” reads as registered office at 546 Stonefield Way, Ruislip, Middlesex, HA4 0BH6.
“Service” reads as services offered by Pro Systems Services.
“Payment Information” reads as the details furnished for the purchase of Goods being sold & on hire over the Web Site.
“User” / “Users” reads as business customer and individual customer availing the services rendered by Pro System Services.
“Web Site” reads as the website that belongs the Pro System Services which the user will be using (www.prosystemservices.com).
3. Age Restrictions
The persons under the age of 18 are advised to obtain our services under supervision of an adult, and the payment information must be completed by/with consent of appropriate adult.
Any orders placed by the customer for the supply of goods sold online, hire equipment services and installation services offered by Pro System Services are subject to the latest terms and conditions.
After placing an order for online sales, you will receive a confirmation email stating the details of your order. In the case of any shortage of supplies, pricing and product description errors, you will be notified.
Any orders for hire services of Lighting, Sound A/V, Staging, Rigging, Pyrotechnics and Video Relay must be in written format.
The prices of the products mentioned over the website, are in pounds sterling and inclusive of all taxes excluding the delivery charges. The VAT provision will be shown separately and included in the total price of the product. The packing, shipping & handling charges, insurance and other relevant charges will be shown in specified pricing structure if applicable.
The supply charges for hire equipment services, charges for staffing and other services will be based on a daily or weekly basis depending on the length of contract. The charges for staffing, design and consultancy, and other services, will be finalised before initiation of contract.
Pro System Serivces reviews the prices of the products being sold online regularly and endeavours to insure that prices on the website are accurate and error free. If a price on our website has been incorectly entered, or our suppliers have had a price increase, we normally, at our discretion, either contact you for instructions before dispatching the product, or reject your order and notify you of such rejection.
6. Payment Information:
Payments made by using Credit/Debit Cards over the website, will be processed in most cases, immediately. In the case of payment process fails, the company has the right to cancel the order and suspend the deliveries.
Payment for hire equipment has to be paid in full prior to date of hire. The hire will only be guranteed after full payment has been received. VAT and other handling charges will not be shown in any quotation given by the company unless stated.
All expenses incurred by Pro System Services in delivering or recovering any equipment will be paid by the customer.
If Pro System Services, at its discretion grants a customer a credit period for invoices of goods or services, the due credit amount must be paid within 30 days of the date stated on the invoice. If payments are not made by the appropriate date the hirer will be liable to pay interest on any unpaid amounts.
If the customer fails to make payment by the appropriate date equipment may be repossessed and/or services will be withdrawn and if any discounts offered will be cancelled.
7. Credit Card Data:
Pro System Services agrees, understands and confirms that the credit card details provided by the customer for sales and services on www.prosystemservices.com will be kept confiedential and no data will be released.
Pro System Services uses the latest encryption technology and other methods to protect your credit card information. The company assures that it offers you the highest standards of security currently available on the internet so as to ensure that your shopping experience is private, safe and secure.
Customers must insure that all debit/credit card information must be correct and accurate and should not use the debit/scredit card which is not lawfully owned by them.
When customers sign the courier receipt upon delivery, it will be treated as acknowledgement of the recpeipt of the goods delivered to you by Pro System Services. It is the customer’s responsibilty to check that all goods are present and undamaged prior to signing.
Free delivery promotions are subject to the current terms and conditions at the time of order.
Orders placed between Friday 2pm and Monday 2pm will be delivered on the following Tuesday.
Deliveries will be made Monday to Friday between 9am and 5pm, excluding Bank holidays.
Free next day delivery applies only to the UK mainland. Other locations will be subject to further charge.
Deliveries will be made subject to the terms and conditions of the courier company.
Pro System Services cannot be held responsible for late deliveries.
In the event that the goods are unavailable for next day delivery, Pro System Services will contact you to arrange a suitable delivery date.
Items marked “In stock” on our website means, the product displayed is either in stock with our suppliers or ourselves and available for delivery. The accuracy of stock levels cannot be guaranteed and are subject to change without prior notification.
The company delivers to customers in the United Kingdom and wales, and the receipt of goods must be signed for by an adult aged 18 or over.
All equipment hired will be in good working order or all sales items will be brand new unless stated. In the case of damaged equipment, the customer has to notify Pro System Services within 24 hours of delivery.
Pro System Services aims to make all deliveries as promised but occasionally delays will occur despite our best efforts. We will not be liable for any delay or failure to deliver within such estimated time scales.
Pro System Services cannot take any responisibities to delays caused by the courrier.
9. Cancellation of order
Pro System Services reserves the right to cancel any online orders without any explanation for doing so, under any situation where the company is not able to meet the requirement of the order placed or placed/cancelled order does not comply with the company policy or for any other reason. However, Pro System Services ensures that any communication of cancellation of an order, will be done so within appropriate time to the concerned person and the applicable refund will be made.
Cancelation of a hire service of equipment will only be accepted in writing or email, for which quotation has been agreed upon by the customer. The Pro System Services shall be entitled to levy the following charges in the event of cancellation:

In addition the customer has to pay for all costs and expenses incurred to that date in respect of the work quoted for.
Upon receipt of cancellation of an order from the customer, the payable charges hereunder will become due and owing immediately.
In the event off cancellation or breach of any agreement made under these terms after the commencement of the work, if any deposit or money paid hereunder shall be forfeited to Pro Systems Services without prejudice.
10. Conditions for return:
Incase, if you find a Damaged / Defective product, notify us of receipt within maximum 24 hours of delivery. The products deemed to return should be unused and the products to be returned in their original packaging along with full contents in the package. The return package should be strongly and adequately packaged so that there is no further damage of goods in transit.
If the return is due to change of mind, then the customer must do so within 14 days of purchacing the product and are resposible for all courier charges to get the product back to Pro System Services. Pro System Services reserves the right to charge a 15% restocking fee. Products to be returned in their original packaging along with full contents in the package.
The Customer will on completion or termination of the contract return all the equipment to company in good , clean, and undamaged condition.
The Customer will be liable for the cost of restoring the equipment to such condition in the event of failure to comply with the above.
The Customer will be liable for hire charges of any equipment not returned in suitable condition until that equipment has been restored accordingly.
The customer will be liable for extra hire charges if equipment is not returned by the agreed time and date.
The company leverage relationships with manufacturers to source best deals and genuine products. The products come with Manufacturer’s Warranty and all requisite guarantees. If a product is faulty within the warranty perioud, it is the responisbilty of the customer to get the products back to the relecvent department.
The Customer agrees to pay Pro System Services the full replacement cost of any equipment lost , stolen, or damaged beyond reasonable repair (without deduction for usage , wear and tear or age). In respect of this liability, the Hirer should comprehensively insure equipment for the full hire period from despatch from our premises to safe receipt. Insurance values will be supplied upon request. The Customer shall not settle any claim without the consent of Pro System Services. In the event of any equipment being lost, stolen or damaged beyond repair, the customer will be liable for hire charges for such equipment until it is replaced. In addition the customer will be liable for any consequential loss arising.
13. Customers Obligations – Hire Services
The customer responsibility for the equipment hired commences on receipt of the equipment by the customer or his/her agent and ends when the customer has returned the equipment back to Pro Systems Services.
The Customer should not sell, disperse or otherwise dispose of the equipment or attempt to do so.
The Customer should ensure that everyone who uses the equipment, be properly instructed in handling equipment.
The customer shall not alter or modify the equipment or use it for purposes for which it was not designed.
The customer agrees that Pro System Services has the right to access the equipment in order to inspect, repair or replace it and when ever need arises
Customers are responsible for ensuring that any relevant Rules, Regulations or Statutory Provisions that govern the use of any equipment supplied by the Pro System Services are complied with. The Company will in no way assume liability for any loss or damage caused through non-compliance with such Rules, Regulations and Statutory Provisions.
The Customer shall be solely responsible for compliance with all legal requirements and shall be solely liable with any claims whatsoever arising from failure to do so.
Nothing in this clause shall affect the statuary rights of the Customer.
The Customer should not be entitled to assign its rights or obligations or delegate its duties without the prior written consent of Pro System Services.
The failure by either party to enforce at any time or for any period any one or more of the Terms and Conditions herein shall not be a waiver of them or of the right at any time subsequently to enforce all Terms and Conditions of this Agreement.
Pro System Services cannot take any liability for any injuries to personnel or damage to property sustained as a result of use of dry-hired equipment. The Company’s only liability for any defect or equipment failure hired shall be limited to the rectification of any such defect or failure that may arise from fair wear and tear. Moreover the company will not be responsible for any loss consequential or otherwise through circumstances outside its control.
Any notice to be given by either party to the other may be served by email, fax, personal service or by post to the address of the other party given in the Agreed Quotation or such other address as such party may from time to time have communicated to the other in writing, and if sent by email shall unless the contrary is proved be deemed to be received on the day it was sent, if sent by fax shall be deemed to be served on receipt of an error free transmission report, if given by letter shall be deemed to have been served at the time at which the letter was delivered personally or if sent by post shall be deemed to have been delivered within two working days.
19. Force majeure.
Neither party shall be liable for any delay or failure to perform any of its obligations if such delay caused by conditions beyond its control including, but not limited to Acts of God, Government restrictions, wars, insurrections, riots, lock outs, and/or any other cause beyond the reasonable control which cause in the supply of equipment or services and the party shall be entitled to a reasonable extension of its obligations after notifying the other the party whose performance is affected.
20. Law and Jurisdiction.
The terms and conditions will be governed by and construed in accordance with the Law of United Kingdom and Wales. Pro System Services abides by the jurisdiction of the Courts of United Kingdom and Wales, incase any disputes arises.
Pro System Serivces accepts no liability to the fullest extent permitted under applicable law, or its suppliers shall not be liable for any indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses arising out of or in connection with the website and its services.
Pro System Services is not responsible for any errors or omissions or outcome obtained from the use of information or for any technical problems you may experience with the website. The company accepts no liability for any direct or indirect loss or damage from the use of the website or any information. The usage of the website and its Content is at your own risk.
